End User Licence Agreement

    This End User Licence Agreement ("EULA" or "Agreement") is a legal agreement between you ("User", "you", or "your") and AutoThink Group Ltd, trading as AutoSettle ("AutoSettle", "we", "us", or "our"), a company registered in England & Wales. This Agreement governs your access to and use of the AutoSettle platform, including our website, web application, APIs, and any related services (collectively, the "Service").

    By accessing or using the Service, you agree to be bound by this EULA. If you do not agree, you must not use the Service.

    1. Licence Grant

    Subject to your compliance with this Agreement and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes during the term of your subscription.

    2. Account & Eligibility

    • You must be at least 18 years old and have the legal authority to enter into this Agreement on behalf of yourself or your organisation.
    • You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
    • You must provide accurate, current, and complete information during registration and keep it up to date.

    3. Permitted Use

    You may use the Service solely to:

    • Manage and recover outstanding invoices for your own business.
    • Connect supported accounting integrations (e.g. Xero, QuickBooks) to synchronise invoice data.
    • Send automated communications, payment plans, and settlement offers to your debtors.
    • Access dashboards, analytics, and AI-powered credit control features.

    4. Restrictions

    You shall not:

    • Copy, modify, distribute, sell, lease, sublicence, or create derivative works of the Service or any part thereof.
    • Reverse-engineer, decompile, or disassemble any aspect of the Service.
    • Use the Service for any unlawful, fraudulent, or abusive purpose, including harassment of debtors.
    • Attempt to gain unauthorised access to other users' accounts or our systems.
    • Transmit any malware, viruses, or harmful code through the Service.
    • Exceed any usage limits or rate limits imposed by us or by connected third-party services.
    • Use the Service in any manner that violates applicable laws, regulations, or the terms of any connected third-party platform (including Xero, QuickBooks, Stripe, or any other integration partner).

    5. Third-Party Integrations

    The Service may integrate with third-party platforms such as Xero, QuickBooks, and Stripe. Your use of those platforms is governed by their own terms and conditions. We are not responsible for the availability, accuracy, or conduct of any third-party service. You authorise us to access and retrieve data from connected platforms on your behalf solely to provide the Service.

    6. Data & Privacy

    Our collection, use, and protection of your personal data is governed by our Privacy Policy. You retain ownership of all data you submit to the Service ("Your Data"). You grant us a limited licence to process Your Data solely to provide and improve the Service.

    7. Intellectual Property

    All intellectual property rights in the Service — including but not limited to software, algorithms, AI models, designs, trademarks, and content — are and remain the exclusive property of AutoSettle or its licensors. Nothing in this Agreement transfers any ownership rights to you.

    8. Fees & Payment

    • Access to the Service may require a paid subscription. Fees are set out on our Pricing page or as otherwise agreed in writing.
    • All fees are exclusive of applicable taxes unless stated otherwise.
    • We may change our fees upon 30 days' notice. Continued use after the effective date constitutes acceptance of the new fees.

    9. Term & Termination

    • This Agreement is effective from the date you first access the Service and continues until terminated.
    • You may terminate at any time by cancelling your subscription and ceasing use of the Service.
    • We may suspend or terminate your access immediately if you breach any term of this Agreement.
    • Upon termination, your licence to use the Service ceases immediately. We may delete Your Data after a reasonable retention period unless we are required by law to retain it.

    10. Disclaimer of Warranties

    The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or secure.

    11. Limitation of Liability

    To the maximum extent permitted by law, AutoSettle shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages.

    Our total aggregate liability for all claims arising under or related to this Agreement shall not exceed the total fees paid by you to AutoSettle in the twelve (12) months preceding the claim.

    12. Indemnification

    You agree to indemnify and hold harmless AutoSettle and its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, your breach of this Agreement, or your violation of any applicable law or third-party rights.

    13. Governing Law & Disputes

    This Agreement is governed by the laws of England and Wales. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.

    14. Changes to This Agreement

    We may update this EULA from time to time. We will notify you of material changes by posting the updated Agreement on our website and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Agreement.
