Terms of Service

    These Terms of Service ("Terms") govern your access to and use of the AutoSettle platform, operated by AutoThink Group Ltd ("AutoSettle", "we", "us", or "our"), a company registered in England & Wales. By using the Service, you agree to be bound by these Terms.

    1. Definitions

    • "Service" means the AutoSettle website, web application, APIs, edge functions, and all related services.
    • "User" means any individual or entity that accesses or uses the Service.
    • "Your Data" means all data, content, and information you submit to or generate through the Service.

    2. Eligibility & Account

    You must be at least 18 years old and have the authority to bind yourself or your organisation to these Terms. You are responsible for maintaining the security of your account credentials and for all activity under your account.

    3. Use of the Service

    We grant you a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes during the term of your subscription, subject to these Terms and any applicable subscription plan limits.

    4. Prohibited Conduct

    • Using the Service for any unlawful, fraudulent, or abusive purpose.
    • Harassing debtors or sending communications that violate applicable laws or regulations.
    • Attempting to reverse-engineer, decompile, or access source code of the Service.
    • Circumventing usage limits, rate limits, or security measures.
    • Transmitting malware, viruses, or harmful code.
    • Violating the terms of connected third-party platforms (e.g. Xero, QuickBooks, Stripe).

    5. Subscriptions & Billing

    Paid features require an active subscription. Fees are set out on our Pricing page or as agreed in writing. All fees are exclusive of VAT unless stated otherwise. We may adjust fees upon 30 days' written notice. Non-payment may result in suspension or termination of your account.

    6. Free Trial

    We may offer a free trial period. At the end of the trial, your subscription will convert to a paid plan unless you cancel before the trial expires. We reserve the right to modify or discontinue free trials at any time.

    7. Third-Party Integrations

    The Service integrates with third-party platforms including Xero, QuickBooks, and Stripe. Your use of those platforms is subject to their own terms. We are not responsible for the availability, accuracy, or conduct of third-party services. You authorise us to access and process data from connected platforms solely to provide the Service.

    8. Your Data

    You retain ownership of Your Data. You grant us a limited licence to process Your Data solely to provide, maintain, and improve the Service. We will handle your personal data in accordance with our Privacy Policy.

    9. Intellectual Property

    All intellectual property rights in the Service — including software, algorithms, AI models, designs, trademarks, and content — are the exclusive property of AutoSettle or its licensors. Nothing in these Terms transfers ownership rights to you.

    10. Disclaimers

    The Service is provided "as is" and "as available" without warranties of any kind. We do not guarantee that the Service will be uninterrupted, error-free, or secure. We do not provide legal, financial, or debt collection advice. You are solely responsible for compliance with all laws applicable to your use of the Service.

    11. Limitation of Liability

    To the maximum extent permitted by law, AutoSettle shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total aggregate liability shall not exceed the fees paid by you in the twelve (12) months preceding the claim.

    12. Indemnification

    You agree to indemnify and hold harmless AutoSettle and its directors, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the Service, your breach of these Terms, or your violation of any law or third-party rights.

    13. Termination

    You may cancel your subscription at any time. We may suspend or terminate your access if you breach these Terms. Upon termination, your licence ends immediately and we may delete Your Data after a reasonable retention period.

    14. Governing Law

    These Terms are governed by the laws of England and Wales. Disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

    15. Changes

    We may update these Terms from time to time. Material changes will be notified by posting the updated Terms and updating the "Last updated" date. Continued use constitutes acceptance.
